Welcome to AIVVIA Athletics. These Terms of Service ("Terms") govern your use of our website, aivviaathletics.com (the "Site"), and any related services, products, and content (collectively, the "Services") provided by AIVVIA Athletics ("we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By accessing or using our Services, you affirm that you are at least 18 years of age or the age of majority in your jurisdiction, and you have the legal capacity to enter into these Terms. If you are using the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will post the revised Terms on the Site and update the "Last updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, please discontinue your use of the Services.

3. Use of Services

3.1 License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use.

3.2 Restrictions. You agree not to:

4. Accounts

You agree to provide accurate, current, and complete information during the registration process and to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.

4.2 Account Termination. We reserve the right to suspend or terminate your account at any time, for any reason, including if we believe you have violated these Terms. If your account is terminated, you may not create a new account without our prior written consent.

5. Purchases

5.1 Orders. All orders placed through the Services are subject to acceptance by us. We reserve the right to refuse or cancel any order at any time for any reason. If we cancel an order, we will attempt to notify you using the contact information provided at the time the order was made.

5.2 Pricing and Availability. All prices are subject to change without notice. We strive to display accurate product descriptions, pricing, and availability information, but errors may occur. In the event of an error, we reserve the right to correct it and to revise your order accordingly or to cancel the order and issue a refund.

5.3 Payment. You agree to pay all charges incurred by you or on your behalf through the Services, at the prices in effect when such charges are incurred, including all shipping and handling charges. You are responsible for any taxes applicable to your purchases.

6. Made-to-Order Products, Returns & Chargebacks

6.1 Made to Order. You acknowledge that AIVVIA products are made to order and produced specifically for you after your order is placed. By completing a purchase, you agree to our production and delivery timeline (typically 2–3 weeks) and to the cancellation terms in our Return & Refund Policy, which is incorporated into these Terms by reference.

6.2 Returns & Exchanges. All returns, exchanges, cancellations, and refunds are governed by our Return & Refund Policy. Please review it before ordering.

6.3 Chargebacks. If you have an issue with an order, you agree to contact us first at info@aivviaathletics.com so we can resolve it. Initiating a chargeback or payment dispute without first contacting us, or for an order that was delivered or handled in accordance with our policies, is a breach of these Terms. We reserve the right to dispute any such chargeback with supporting documentation, and to suspend or cancel the accounts and pending orders of customers who file fraudulent or bad-faith disputes.

7. Intellectual Property

7.1 Ownership. All content and materials included in the Services, including text, graphics, logos, images, and software, are the property of AIVVIA Athletics or its licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Trademarks. AIVVIA Athletics and our logos, product names, and other trademarks are our property. You agree not to use any trademarks without our prior written permission.

8. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, AIVVIA Athletics and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid us for the Services in the six months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless AIVVIA Athletics and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another.

11. Dispute Resolution & Class Action Waiver

Any dispute arising out of or relating to these Terms or your use of the Services that cannot be resolved informally shall be resolved through binding individual arbitration, rather than in court, except that you may bring claims in small-claims court if they qualify. You and AIVVIA agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. 12. Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Michigan, and you consent to the personal jurisdiction and venue therein.

13. Miscellaneous

13.1 Entire Agreement. These Terms, together with our policies referenced herein, constitute the entire agreement between you and AIVVIA Athletics regarding the use of the Services and supersede all prior agreements and understandings, whether written or oral, regarding the subject matter herein.

13.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

13.4 Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. We may assign or transfer these Terms at our sole discretion, without restriction.
